Terms of Service

Governs access to and use of Lattice Crest, Pawa IT's email signature and brand-banner management platform for Google Workspace.

These Terms of Service (“Terms”) govern access to and use of Lattice Crest, an email signature and brand-banner management application for Google Workspace, made available via the Google Workspace Marketplace and at crest.pawait.io, together with all related APIs, integrations, and documentation provided by Pawa IT Solutions Limited (collectively, the “Services”). These Terms constitute a legally binding agreement between Pawa IT Solutions Limited, a company incorporated in Kenya (“Pawa IT,” “we,” “us,” or “our”), and the organisation accessing the Services (“Customer,” “you,” or “your”).

Where Pawa IT and the Customer have entered into a separately executed Master Services Agreement or Order Form, that agreement governs to the extent it conflicts with these Terms.

By installing Lattice Crest from the Google Workspace Marketplace, authorising the Domain-Wide Delegation described in Section 3, or otherwise accessing the Services, the Customer agrees to be bound by these Terms and Pawa IT's Privacy Policy for Lattice Crest. If you do not agree, you must not install or use the Services.

1. Agreement to Terms

1.1 Organisational Agreement

These Terms are entered into by and on behalf of the Customer as an organisation. The Google Workspace Super Administrator who installs Lattice Crest and authorises Domain-Wide Delegation represents and warrants that they have the authority to bind the Customer to this Agreement. If you do not have that authority, you may not install or use the Services.

1.2 Scope of Agreement

By installing Lattice Crest, creating an account, executing an Order Form, or otherwise accessing the Services, the Customer agrees to comply with these Terms, together with any applicable Order Form, Service Level Agreement, and Data Processing Agreement, each incorporated by reference. Where these Terms conflict with an Order Form or Data Processing Agreement, the more specific document governs. Access to Google Workspace data through Lattice Crest is also governed by the Google Workspace Marketplace Developer Agreement and the Google API Services User Data Policy, which take precedence over these Terms solely with respect to Google user data (see Section 3 and the Privacy Policy, Section 9).

1.3 Updates to Terms

Pawa IT may update these Terms from time to time. Where changes are material, we will provide no less than 30 days' notice via the email address associated with the Customer's Administrator Account or via the application. Continued use of Lattice Crest after the effective date of updated Terms constitutes acceptance.

1.4 Governing Law

These Terms are governed by the laws of the Republic of Kenya. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the Kenyan courts, unless otherwise agreed in a separately executed agreement.

2. Accounts and Roles

2.1 Administrator (Super Admin)

Lattice Crest is installed and configured by the subscribing organisation's Google Workspace Super Administrator, or a delegated administrator with equivalent rights. The Administrator designs signature templates, manages licence assignments, and targets deployments to specific users, groups, or organisational units.

2.2 Customer Users

Employees whose Gmail signatures are managed by Lattice Crest (“Customer Users”) do not separately register for or log into the Service; signatures are deployed to their accounts automatically once the Administrator assigns a licence and target. Customer Users do not need to take any action for a signature update to take effect.

2.3 Accuracy of Information and Account Responsibility

The subscribing organisation must ensure that account information provided during onboarding — including domain name, primary contact, and billing information — is accurate, current, and complete, and is responsible for all activity under its Administrator Account, including template and targeting decisions made by any delegated administrator.

2.4 Eligibility

The subscribing organisation represents and warrants that it is a validly constituted legal entity with authority to enter into this Agreement, and that the Google Workspace domain on which Lattice Crest is installed is one the Customer is authorised to administer.

3. Domain-Wide Delegation and Google API Access

3.1 Nature of the Authorisation

Lattice Crest uses Google Workspace Domain-Wide Delegation (“DWD”) to deploy signatures on behalf of Customer Users. Granting DWD is a deliberate, manual act performed by the Customer's Super Administrator in the Google Admin Console — Pawa IT cannot grant itself this access. The Customer's Super Administrator may revoke DWD at any time via the Google Admin Console, after which all Google API calls made by Lattice Crest for that domain will immediately fail.

3.2 Scopes Requested

Lattice Crest requests only the following Google OAuth scopes, each required for a specific feature:

Read and write Gmail signature settings.
gmail.settings.sharing
Update signatures for send-as aliases.
admin.directory.user
Sync user profiles and apply approved signature updates.
admin.directory.group.readonly
List groups for deployment targeting.
admin.directory.orgunit.readonly
List organisational units for deployment targeting.

Lattice Crest does not access email messages, calendar events, Drive files, or any Google service beyond Gmail signature settings and the Directory API.

3.3 Compliance

Use of data obtained through these scopes is subject to the Google API Services User Data Policy, including the Limited Use requirements, as described in the Privacy Policy, Section 9. The Customer's use of the Services must not cause Pawa IT to breach the Google Workspace Marketplace Developer Agreement.

4. Acceptable Use

4.1 Legal and Regulatory Violations

Using the Services in violation of any applicable law or regulation, including Kenya's Data Protection Act 2019 and the Computer Misuse and Cybercrimes Act 2018.

4.2 Scope of Authorisation

Using Lattice Crest to deploy signatures, read directory data, or otherwise act on any Google Workspace domain the Customer does not own or is not authorised to administer.

4.3 Unauthorised Access and Platform Integrity

Attempting to gain unauthorised access to the Services, other customers' accounts, or Pawa IT's infrastructure; or interfering with the performance or availability of the Services, including through excessive API calls or circumventing rate limits.

4.4 Content Standards

Using Lattice Crest to deploy signature or campaign-banner content that is unlawful, infringing, or that impersonates a third party.

4.5 Restrictions

Copying, modifying, reverse engineering, decompiling, or attempting to derive the source code of Lattice Crest, or using Pawa IT or Lattice trademarks without prior written consent.

5. Intellectual Property Rights

5.1 Pawa IT Proprietary Rights

Lattice Crest — including its template engine, deployment pipeline, targeting logic, dashboards, and all original software and documentation — is and remains the exclusive intellectual property of Pawa IT Solutions Limited and its licensors.

5.2 Third-Party Components

Lattice Crest is built on and integrates with Google Workspace APIs (Gmail API, Admin SDK Directory API). These remain the exclusive intellectual property of Google LLC and are subject to Google's own terms. Pawa IT's IP rights apply solely to the proprietary layer Pawa IT has built on top of these APIs.

5.3 Customer Data and Content

The Customer retains full ownership of its signature templates, brand assets, campaign content, and Google Workspace directory data processed through Lattice Crest (“Customer Data”). Pawa IT claims no ownership over Customer Data and accesses it only as necessary to deliver the Services.

5.4 Restrictions on Use of Pawa IT IP

Signature templates and targeting configurations built for your organisation remain associated with your account; the underlying platform, deployment pipeline, and integration frameworks used to deliver them remain Pawa IT's property.

6. Suspension and Termination

6.1 Termination by Customer

The Customer may terminate these Terms at any time by uninstalling Lattice Crest from the Google Workspace Marketplace or Admin Console, or by revoking Domain-Wide Delegation as described in Section 3.1 — either action takes effect immediately. Termination does not entitle the Customer to a refund of prepaid fees unless expressly agreed in writing.

6.2 Suspension or Termination by Pawa IT

Pawa IT may suspend access immediately where: (a) the Customer has materially breached these Terms and has not remedied the breach within 14 days of written notice; (b) the Customer's use poses a security risk; (c) required by law; or (d) fees remain outstanding beyond agreed payment terms.

6.3 Effect of Termination

Upon termination or DWD revocation:

  1. all licences granted under these Terms cease immediately, and Lattice Crest's access to the Customer's Google Workspace domain ends;
  2. where an original (pre-Lattice Crest) signature was captured for a user, Pawa IT will make it available for restoration as described in the Privacy Policy;
  3. Customer Data is retained and then deleted in accordance with the retention schedule in the Privacy Policy, Section 6; and
  4. any outstanding fees accrued prior to termination remain payable.

6.4 Survival

Sections relating to intellectual property, limitation of liability, governing law, and dispute resolution survive termination of these Terms.

7. Warranties, Disclaimers, and Limitation of Liability

7.1 Pawa IT Warranties

Pawa IT warrants that it has the right to enter into these Terms, that the Services will perform materially in accordance with their documentation, and that it will maintain reasonable technical and organisational security measures appropriate to the data processed.

7.2 Disclaimer

The Services are provided on an “as available” basis. Pawa IT does not warrant that signature or banner deployment will be error-free or that it will render identically across every email client the Customer's recipients use; rendering differences between email clients are outside Pawa IT's control.

7.3 Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, or consequential damages, and Pawa IT's total aggregate liability arising out of these Terms shall not exceed the total fees paid by the Customer in the twelve (12) months preceding the event giving rise to the claim.

7.4 Exceptions: Nothing in these Terms limits either party's liability for death or personal injury caused by negligence, fraud, wilful misconduct or gross negligence, breach of confidentiality, or any liability that cannot be limited under Kenyan law.

8. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Kenya. Disputes shall first be addressed through good-faith negotiation between senior representatives within 30 days of written notice; failing resolution, disputes are subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.

9. Amendments to These Terms

Pawa IT may update these Terms from time to time. For material changes, we will provide at least 30 days' written notice to the Administrator Account email on record before the revised Terms take effect. Continued use after that date constitutes acceptance.
